Terms of Service

By subscribing to TableBot, paying an invoice, or using the service, you agree to these Terms of Service ("Terms"). These Terms form a binding agreement between you ("Client") and Vinochan Saddal trading as TableBot, ABN 47 103 047 744 ("Provider", "we", "us").1. Services
1.1 The Provider supplies TableBot, a voice AI for restaurants that handles inbound calls on behalf of the Client. This typically includes: answering calls, taking bookings, responding to enquiries, and forwarding calls where appropriate.
1.2 Specific features, integrations (such as booking system connections), and call flows configured for the Client are agreed informally during onboarding and may be adjusted by mutual agreement at any time.
1.3 The Client is responsible for providing accurate venue information (menu, hours, booking rules, etc.) and for keeping that information up to date. The Provider will configure the system based on what the Client provides.2. Trial Period
2.1 The Client receives a 14-day free trial commencing on the start date. Payment details are collected upfront but no charge is made during the trial.
2.2 At the end of the 14-day trial, the Client is automatically billed for the first month at the agreed monthly fee, unless the Client cancels in writing before the trial ends.
2.3 The Client may cancel the trial at any time before it ends by emailing the Provider, with no charge.3. Fees and Billing
3.1 The monthly fee is the amount agreed at signup and is billed in advance on the same date each month following the trial.
3.2 All fees are in Australian Dollars (AUD) and exclusive of GST. GST will be added at the prevailing rate (currently 10%) and shown on the tax invoice.
3.3 Pricing is based on expected call volume. If the Client's call volume materially exceeds the volume the pricing was set against, the Provider may adjust the monthly fee. The Provider will notify the Client in writing at least 14 days before any price change takes effect. The Client may cancel under clause 4 if they do not accept the new price.
3.4 Payment is processed via Stripe or another payment method nominated by the Provider. The Client authorises automatic monthly charges to the payment method on file.
3.5 If a payment fails, the Provider will attempt to contact the Client. If payment is not resolved within 7 days, the Provider may suspend the service until payment is received.4. Term and Cancellation
4.1 The agreement runs month-to-month following the trial. There is no fixed minimum term.
4.2 Either party may cancel at any time by giving written notice (email is sufficient).
4.3 Cancellation takes effect at the end of the current billing period. The Client retains access to the service until that date.
4.4 No refunds are provided for the current or any prior billing period. Once a month has been paid for, that month is non-refundable.
4.5 The Provider may terminate immediately if the Client breaches a material term (including non-payment) or engages in conduct that is unlawful, abusive, or damaging to the Provider or its other clients.5. Client Responsibilities
5.1 The Client is responsible for:
- Setting up and maintaining call forwarding from their business phone line to the number provided by the Provider;
- Providing accurate information for the AI agent to use (menu, hours, booking rules, FAQs, etc.);
- Notifying the Provider of any changes that affect call handling (e.g. holiday hours, menu changes, booking system changes);
- Complying with all laws applicable to the Client's business, including consumer law and the Australian Privacy Principles where applicable;
- Disclosing to callers, where required by law, that calls may be recorded or handled by an automated service. The Provider can supply suggested wording on request.
5.2 The Client must not use the service for any unlawful, fraudulent, or abusive purpose.6. Data, Privacy, and Recordings
6.1 Call recordings, transcripts, booking data, and customer contact details captured through the service relate to the Client's customers and remain the Client's data. The Provider stores and processes this data on the Client's behalf to deliver the service.
6.2 The Provider will take reasonable steps to keep Client data secure, including using reputable third-party providers (such as Vapi, Twilio, Deepgram, Cartesia, and cloud hosting providers) and standard access controls.
6.3 The Client is responsible for any disclosures required to its own customers under the Privacy Act 1988 (Cth), the Australian Privacy Principles, and any other applicable laws, including notifying callers that calls may be recorded and that an automated service is being used.
6.4 The Provider may use de-identified, aggregated data (such as call counts, duration averages, and performance metrics) to improve the service and for internal analytics. The Provider will not sell Client data to third parties.
6.5 On termination, the Client may request a copy of their data within 30 days. After that period, the Provider may delete Client data from active systems, subject to any backups retained for a reasonable period in the ordinary course of business.7. Intellectual Property
7.1 The Provider owns all intellectual property in the TableBot system, including the underlying software, prompts, workflows, configurations, brand, and documentation. Nothing in these Terms transfers any of that intellectual property to the Client.
7.2 The Provider grants the Client a non-exclusive, non-transferable licence to use the service for the Client's internal business operations while these Terms are in force.
7.3 The Client owns its own data (as described in clause 6) and its own brand, content, and customer information.
7.4 The Client must not attempt to copy, reverse engineer, resell, or sublicense the TableBot system or any part of it.8. Service Levels
8.1 The Provider will use reasonable efforts to keep the service operational and to respond to issues promptly. The service is provided on a "best efforts" basis.
8.2 The Provider does not guarantee any specific level of uptime, accuracy, or call-handling performance. The service depends on third-party providers (telephony, AI models, internet connectivity) which the Provider does not control.
8.3 The Provider may carry out maintenance or updates that briefly interrupt the service. Where possible, the Provider will give advance notice.9. Liability
9.1 Nothing in these Terms excludes or limits any rights the Client has under the Australian Consumer Law that cannot be lawfully excluded.
9.2 Subject to clause 9.1, the Provider's total aggregate liability to the Client for any and all claims arising out of or in connection with these Terms is limited to the total fees paid by the Client to the Provider in the three (3) months immediately preceding the event giving rise to the claim.
9.3 To the extent permitted by law, the Provider is not liable for any indirect, consequential, or special loss, including loss of profits, loss of revenue, loss of bookings, loss of goodwill, or loss of data.
9.4 The Client acknowledges that the service involves AI-generated responses and that errors, misunderstandings, or missed information may occur. The Client is responsible for reviewing bookings and acting on information passed through by the service.10. Indemnity
10.1 The Client indemnifies the Provider against any claim, loss, or expense (including reasonable legal costs) arising from the Client's breach of these Terms, the Client's misuse of the service, or any claim by a third party (including the Client's customers) relating to the Client's business operations.11. Marketing and Case Studies
11.1 The Client agrees that the Provider may identify the Client (by trading name and logo) as a customer of TableBot and may reference anonymised or non-confidential metrics (such as call volumes or booking counts) in marketing materials, including its website, social media, and sales conversations.
11.2 The Provider will not disclose the contents of specific customer calls or any personal information about the Client's customers in marketing materials.
11.3 The Client may withdraw this permission at any time by written notice. Withdrawal applies prospectively and does not require the Provider to remove materials already published.12. Confidentiality
12.1 Each party agrees to keep the other party's confidential information (including pricing, technical details, and business information disclosed during the relationship) confidential, and to use it only for the purposes of these Terms.
12.2 This obligation does not apply to information that is publicly available, was already known to the receiving party, or is required to be disclosed by law.13. Changes to These Terms
13.1 The Provider may update these Terms from time to time. Material changes will be notified to active Clients by email at least 14 days before they take effect. Continued use of the service after that date constitutes acceptance.
13.2 The current version of these Terms are available at tablebot.com.au/termsv1.14. General
14.1 Governing law: These Terms are governed by the laws of Western Australia. The parties submit to the non-exclusive jurisdiction of the courts of Western Australia.
14.2 Entire agreement: These Terms are the entire agreement between the parties in relation to the service. They replace any prior discussions, proposals, or representations.
14.3 Variation: Any change agreed between the parties (outside of clause 13.1) must be in writing (email is sufficient).
14.4 Assignment: The Client may not assign these Terms without the Provider's written consent. The Provider may assign these Terms to a successor business entity (for example, on incorporation of a company).
14.5 Severability: If any clause is found to be unenforceable, the rest of these Terms remains in force.
14.6 Notices: Notices may be given by email to [email protected] or to the Client's billing email on file.
14.7 Independent contractor: The Provider is an independent contractor. Nothing in these Terms creates a partnership, employment, agency, or joint venture relationship.
